MEMBERSHIP AGREEMENT

1. Parties

These terms and conditions of use for MetaChain Teknoloji and its attachments (hereinafter referred to as "Agreement" or "Terms") have been electronically entered into by and between us and the "User" in order to determine the rights and obligations of each party under this Agreement when the User becomes a member of the Platform, visits, uploads, or uses the products and services.

This Membership Agreement ("Agreement") is prepared between MetaChain Teknoloji A.S. ("MetaChain" or "Company") and the User who has become a member of the Site ("Site") at www.metachain.life in order to determine the rights and obligations of the Parties regarding the services described in the Agreement.

Please carefully read the Risk Disclosure Form, Privacy Policy, Information Notice Regarding Processing of Personal Data, and other policy notifications currently available on the Platform (collectively, "Our Policies") together with this text before or during your use of our Services. Unless otherwise stated herein or thereon, the terms and policies herein and our Policies collectively constitute the entire agreement between you and us regarding your use of the Platform.

2. Definitions

2.1 MetaChain/We/Our/Us: Refers to MetaChain Teknoloji Inc., which is located at Maslak Mah. Taşyoncası Sk. Maslak 1453 Sitesi 1G İç Kapı No:111 Sarıyer/İSTANBUL and operates the blockchain platform specified in this agreement, providing cryptocurrency trading services and other services specified in the agreement.

2.2 Cryptocurrency: Virtual or digital assets that are transferable and carry the same value everywhere, not controlled by a bank or company, decentralized, based on blockchain technology, with prices determined and changed by buyers and sellers in markets, and having a two-way flow without the nature of electronic money.

2.3 Cryptocurrency Wallet: A computer file that contains cryptocurrency addresses and their passwords, entirely under the responsibility and control of the User. Cryptocurrency can be transferred between these addresses.

2.4 User/You: Any natural person who is eligible to visit, download, use, or register for the Platform, regardless of whether they benefit from the services offered on the Platform.

2.5 Site: Refers to the internet site consisting of the domain name "www.metachain.life" and its related subdomains.

2.6 MetaChain Teknoloji/Platform: Refers to the internet site, related mobile applications ("Applications"), and ecosystems created or operated by us from time to time, through which MetaChain Teknoloji offers users services and products related to cryptocurrency.

2.7 User Account: Refers to the account that each user can register and create with MetaChain Teknoloji, which enables the identification of their identity and allows them to have one or more associated crypto wallets under their account, regardless of whether they benefit from the services offered on the platform or not.

2.8 Blockchain: In blockchain technology, each transaction creates a block that advances by linking to each other like a chain. Blockchain technology enables multiple controls that can be monitored and tracked by anyone without a central control structure.

2.9 MetaAirDrop: A promotion/campaign process in which users can earn META by completing tasks given through the MetaChain website and mobile application.

3. General Provisions

3.1. Structure of MetaChain Teknoloji

3.1.1. MetaChain Teknoloji is a platform that offers various blockchain-based services, including a cryptocurrency exchange. Users on the platform buy and sell cryptocurrencies from each other through auction or reverse auction methods. MetaChain Teknoloji acts as an intermediary in these transactions. However, MetaChain Teknoloji does not determine, adjust, or actively influence the prices that occur on the Platform.

3.1.2. Investing in cryptocurrencies is a risky economic activity. By using MetaChain Teknoloji, you declare and undertake that you are aware of the risks associated with cryptocurrency investment, assume these risks, and do not hold MetaChain Teknoloji responsible for any losses or damages that may arise from your investments. For more information about the risks associated with using MetaChain Teknoloji, please refer to the Risk Disclosure Form.

3.1.3. Unless otherwise stated, we own all intellectual property rights in the services provided or to be provided under this agreement, including all domain names, software codes, interfaces, contents, product reviews, videos, algorithms, drawings, models, designs, and other intellectual property rights. No copying, reproduction, dissemination, reverse engineering, or any form of infringement of the above intellectual property rights is permitted in any way, except for content and applications provided by third parties.

3.2. MetaChain Teknoloji Services

3.2.1. The following are what you can do with the different services we offer on the Platform:

1. You can register, protect and use a user account that is specific to you on the Platform.
2. You can benefit from all the services available on the Platform and those that will be made available.
3. You can open, protect and use at least one crypto wallet for other crypto currencies that are owned by MetaChain and occasionally accepted by us, which you can load and store under your user account.
4. You can participate in contests, promotions, and AirDrop processes that are occasionally organized on the Platform's website and mobile application, and earn META, other cryptocurrencies, or other rewards distributed in these processes.
5. You can transfer cryptocurrencies to your crypto wallet or to other users' wallets on the Platform at your own discretion.
6. You can convert the cryptocurrencies in your wallet to the accepted values that have been or will be accepted by us over time, or you can carry out transactions with other users on the Platform using cryptocurrencies that will be accepted by us over time. You may also have access to our approved partners' other services, or we may provide this to you from time to time.

3.2.2. To avoid any doubt, we have no connection to any financial services management related to depositing, withdrawing, or transferring funds related to fiat currencies, or exchanging your cryptocurrencies on the counter or at the booth. These services will be provided by a third-party service provider under their service agreements and policies, and if you have any concerns or questions regarding these services, you should contact the relevant service providers. We are not responsible for any requests related to your financial services related to fiat currencies, and you acknowledge and agree that you need to direct such requests to the relevant service providers.

3.2.3. In order to comply with regulations, leverage trading is currently not allowed on the Platform. You acknowledge, declare, and undertake that MetaChain Teknoloji will not demand interest for any cryptocurrency or fiat currency that you own or can trade, regardless of whether you convert it into an investment when using our services.

3.3. Airdrops, Campaigns, Promotions, and Contests

3.3.1. From time to time, we, our sponsors, or other parties may conduct airdrops, contests, sweepstakes, campaigns, promotions, and other activities through the Websites and mobile applications. Each process may have its own rules and validity conditions, which will also be published separately. MetaChain reserves the right to unilaterally make changes to these conditions.

Please note that the campaign processes will be announced on the MetaChain website and mobile applications. MetaChain shall not be held responsible for damages caused by the user's own errors, negligence, and actions taken without obtaining accurate information.

3.4. User's Membership Period

The User shall only have the right to use the services provided or to be provided by MetaChain Teknoloji during the membership period under this Agreement.

3.5. Account Opening

3.5.1. Each user can only have one user account. The user may use the Platform solely for the purpose of benefiting from the services described in this agreement. If it is determined that a user is using multiple user accounts, MetaChain Teknoloji has the right to unilaterally terminate the agreement, cease any transactions or prevent transactions, suspend and block the user account/accounts, and take necessary and appropriate measures.

3.5.2. The user is responsible for ensuring that the information provided during registration on the Platform is complete, accurate, up-to-date, and not misleading. MetaChain Teknoloji relies on and acts based on the statements made by the user in all transactions related to the use of the Platform. In addition, the user is responsible for providing and verifying/providing evidence for the information and documents requested by MetaChain Teknoloji after the registration process has been completed, in order to carry out transactions and perform certain limits/transaction types. Otherwise, MetaChain Teknoloji has the right to terminate the agreement, not engage in any action, suspend and block the user account/accounts, and take necessary and appropriate measures. If there is any change in the information declared by the user, the user shall inform MetaChain Teknoloji as soon as possible and update the relevant information. MetaChain Teknoloji is not responsible for any losses or damages arising from the failure to fulfill this obligation.

3.6. User Qualifications

3.6.1. You declare and undertake with this agreement that you are over 18 years of age and have legal capacity. If MetaChain Teknoloji determines, for any reason or circumstance, that you are under 18 years of age, your account is being used by someone under 18 years of age, or you do not have legal capacity, or if there is a reasonable suspicion regarding these issues, MetaChain Teknoloji has the right to unilaterally terminate the agreement, not engage in any action, suspend and block your account, and take necessary and appropriate measures within the scope of its discretionary power.

3.7. Account Usage Rules

3.7.1. The User may not transfer this Agreement, the obligations or rights arising from this Agreement to third parties without our permission. You may not sell, transfer, lease, authorize third parties or use third parties in any other way to use your MetaChain Teknoloji account without our permission. In the event of a violation of these provisions, MetaChain Teknoloji has the right to terminate the agreement, suspend or block your account, or take any necessary and appropriate measures within its unilateral discretion.

3.7.2. The User undertakes not to act on behalf of someone else's account, but only on their own behalf. Otherwise, the User acknowledges and declares that they have no legal/criminal responsibility for unauthorized or incorrect transactions, unlawful use by third parties, fictitious, illegal, etc. transactions carried out by MetaChain Teknoloji, and that MetaChain Teknoloji has the right to unilaterally terminate this Agreement.

3.7.3. If the User wants to appoint a representative by a notarized and special power of attorney to exercise their rights arising from this Agreement, this representative may only use these rights with the prior approval of MetaChain Teknoloji. Matters like this are entirely subject to the unilateral discretion of MetaChain Teknoloji. If MetaChain Teknoloji approves the power of attorney mentioned above, the User is responsible for all actions, behaviors, and consequences of the representative appointed by the User. However, if the representative is dismissed or resigns, the User must notify MetaChain Teknoloji in writing in advance. If this notification is delayed, the User is responsible for all legal liabilities arising from transactions carried out until the date the written notification reaches MetaChain Teknoloji.

3.7.4. The User agrees to use the services provided by us (including but not limited to conducting transactions through the Platform) for legal purposes only. If the Platform or any service is used for illegal purposes or a suspicious transaction is detected, MetaChain Teknoloji has the right to cancel or revert the transaction, immediately terminate the Agreement, or take other appropriate security measures. The legal and criminal liability arising from the illegal use of the account and services is the responsibility of the User.

3.8. Account Security

You are responsible for safeguarding your account's username and password. You must not share your username and password with anyone else, and you are liable for any damages or losses that may arise from such sharing. We are not liable for any damages that may arise from unauthorized access to your account by an unauthorized person and the use of our services through your account.

You are responsible for ensuring the security of your user account. To protect your user account, you should:

1. Use a strong password,
2. Not share your username and password with anyone,
3. Use a platform-specific password,
4. Always connect to the Site via "https",
5. It is highly recommended that you use the www.metachain.life address when accessing the Platform and/or checking the Application identification information.

3.9. User's Rights and Obligations

3.9.1. The User is legally and criminally responsible for all actions taken through the Platform. The User acknowledges that instructions given by themselves cannot be cancelled or revoked after they have been executed. Unless otherwise stated in the Platform Policies, MetaChain Teknoloji only provides intermediary services for crypto transactions between different users and related technical services, and does not engage in any transactions as a party. Therefore, MetaChain Teknoloji has no legal or administrative responsibility as a party to any transaction. The responsibility for executing any instructions given by a User relating to buying/selling or other services is solely that of the User. However, the User is liable for any damages or losses resulting from incorrect or erroneous instructions.

3.9.2. You/ the User are responsible for the transfer of crypto coins that have been transferred to your crypto wallet, which has been modified on the Platform. The User is also obliged to take security measures for each crypto wallet. MetaChain Teknoloji cannot be held responsible for incorrect crypto transfers between different users' wallets, and all responsibility will be borne by the User who made the incorrect transfer. Similarly, due to the technical characteristics of crypto coins, the responsibility for erroneous transfers due to incorrect entry of the required information during the transfer process also belongs to the User. Therefore, before transmitting buy/sell instructions, you must carefully check the technical information related to the crypto coins during the transfer process. Otherwise, all losses, damages, and liabilities resulting from incorrect information entry will be your responsibility. Therefore, except for our intent or gross negligence, you agree, declare, and undertake to release MetaChain Teknoloji from any claims resulting from erroneous transfers.

3.9.3. You are responsible for all activities carried out under your user account subject to this Agreement and all legal obligations arising from these activities (including tax obligations, but not limited to). If we assume any of the aforementioned obligations arising from or related to such activities based on Legal Regulations or Government orders, you acknowledge, declare and undertake to compensate us for all losses and damages in an acceptable manner for us. In this regard, you agree that we have the right to take all reasonable measures at our discretion, including but not limited to freezing or transferring your assets, to fulfill these obligations.

3.9.4. In transactions carried out on the Exchange, instructions given by the User will only be executed if there is demand within the market conditions. Therefore, simply giving instructions (such as stop limit or other limits) does not mean that the instruction will be executed. MetaChain Teknoloji does not have any commitment in this regard.

3.9.5. On the Exchange, only the crypto asset types listed on MetaChain Teknoloji will be visible in the wallet for transfers made to the wallet on MetaChain Teknoloji by the User. If crypto asset types not listed on the MetaChain Teknoloji platform are transferred, you can request a refund of the transfer, or conversion to another listed asset, at your expense.

3.10 MetaChain Teknoloji's Rights and Obligations

3.10.1. As a diligent merchant, we are under an obligation to make reasonable efforts to ensure the security of your assets on our platform. However, we will not be held responsible for theft/fraud/cyber attacks that may occur despite all our efforts.

3.10.2. MetaChain Teknoloji provides support services through info or other communication channels. Unless otherwise specified in our policies, MetaChain Teknoloji does not request passwords or ask you to transfer crypto or fiat currency on our or a third party's behalf in support correspondence. MetaChain Teknoloji cannot be held responsible for any damages or losses not caused by or resulting from such communication sources.

3.10.3. MetaChain Teknoloji has the sole authority to determine the crypto asset types it intermediates in trading on the platform. It may remove listed crypto asset types from time to time or add other crypto asset types it accepts. For crypto asset types to be removed from the list, the User will be notified within a reasonable period of time, and if the User does not take action within the designated time period, the crypto asset will be sold at the market price and the sale proceeds will be transferred to the User's account. MetaChain Teknoloji will not be held responsible for any liability arising from this.

4. Limitation of Liability and Disclaimer

4.1. Risks

4.1.1. Investing in cryptocurrencies is a risky economic activity. You expressly declare, accept, and undertake that you are aware of the risks of investing in cryptocurrencies, that you assume the risks related to the activities covered by this Agreement, as well as the risks that we reminded you of in the Risk Disclosure Form (including the fulfillment of transactions), and that you will not hold MetaChain Teknoloji liable for any damages (including cryptocurrency price fluctuations) that may arise from these risks.

4.1.2. The User will decide to trade by examining the characteristics, type, and properties of the cryptocurrency asset in which they will invest. The User is solely responsible for conducting detailed research on this matter. MetaChain Teknoloji has no responsibility or commitment in this regard.

4.2. General Provisions Regarding the Limitation of Obligations

4.2.1. MetaChain is a platform that includes blockchain-based projects, including cryptocurrency purchase/sale services. Users buy or sell cryptocurrencies from each other using the auction or reverse auction method on the exchange on the Platform. MetaChain Teknoloji intermediates these transactions through the Platform. However, MetaChain Teknoloji does not determine, adjust, or actively influence the prices that occur on the Platform's exchange. MetaChain Teknoloji cannot be held responsible for any losses or damages resulting from price fluctuations for Users.

4.2.2. MetaChain Teknoloji is not responsible for any loss or damage resulting from User transactions on the Platform unless caused by MetaChain Teknoloji's intent or gross negligence.

4.3. Content Not Provided by MetaChain Teknoloji

4.3.1. All types of content provided on the Platform are composed of data collected from third parties and public sources. All data, analyses, reports, and statistics are processed by software that automatically processes the information without any regulation or direction, and are presented objectively. All news and reports presented on the Platform are for information and advisory purposes only and do not have the characteristics of providing solutions, results, legal opinions, political and sociological research information, and their accuracy is not guaranteed. Data may be contradictory or inconsistent with each other. You acknowledge that MetaChain Teknoloji is not obligated to provide any information containing content from third parties or public sources, or to show you such information. In such cases, MetaChain Teknoloji assumes no responsibility.

4.3.2. MetaChain Teknoloji does not provide any warranties, either explicit or implicit, including but not limited to fitness for a particular purpose or merchantability, with respect to the results that may be obtained from the use of the provided content, to any user. All content is provided "as is" to the user. MetaChain Teknoloji is not responsible for any loss of profit or negative damages that may arise from the use of the content provided. Any reference made to any person/organization/company/brand in the content provided by MetaChain Teknoloji is not a recommendation for the purchase, sale, or holding of stocks that would affect the market values, rankings, and brand values of these persons/organizations/companies/brands.

4.4. Technical Issues

4.4.1. MetaChain Teknoloji fulfills the transaction instructions provided by the User within a reasonable time frame with respect to the services provided in this Agreement. However, MetaChain Teknoloji is not liable for damages arising from failure to fulfill these instructions within a reasonable time frame due to technical reasons, compelling reasons, temporary impossibility, or other reasons not controlled by MetaChain Teknoloji.

4.4.2. MetaChain Teknoloji is not responsible for any technical malfunctions that may occur on the Platform. MetaChain Teknoloji does not guarantee that the Platform will operate or operate without errors. However, MetaChain Teknoloji makes every effort to ensure that the Platform operates smoothly.

4.4.3. MetaChain Teknoloji may periodically perform maintenance and updates to ensure that the Platform operates smoothly by notifying Users a reasonable amount of time in advance. The User cannot claim damages due to transactions that cannot be performed during this period and instructions that cannot be fulfilled.

4.5. User's Incorrect/Misuse of Service

MetaChain Teknoloji shall not be liable for any damage or loss arising from the misuse of cryptocurrency or other services obtained under this Agreement by the User. In case of any suspicion, MetaChain Teknoloji may refuse to execute the User's transaction instructions and cancel the transaction. Under no circumstances shall MetaChain Teknoloji be held responsible for any damage or loss suffered by the User in such situations.

5. Rights/Claims

5.1. Technical Malfunctioning Transactions

In the event that your transactions are executed at unrealistic prices due to technical errors, MetaChain Teknoloji may cancel or void such transactions, or take other necessary measures for the proper functioning of the system. If any payment has been made, the User Account may be frozen and unauthorized payment refunded during the cancellation and voiding process. If such payments are not refunded, MetaChain Teknoloji reserves the right to pursue legal action. In this regard, you acknowledge that in the event of a claim for damages arising from such transactions made by MetaChain Teknoloji or another MetaChain Teknoloji user, MetaChain Teknoloji has the right to collect the corresponding cryptocurrency or assets equivalent to the damage from your User Account. MetaChain Teknoloji shall not be liable for any such claims or losses.

5.2. Use of Rights/Claims

In relation to any claim arising from this Agreement or any other legal reason, MetaChain Teknoloji has the right to directly collect the receivables, assets, and goods belonging to you, as well as the right of setoff and offset.

6. Non-Financial Advice

6.1. Non-Investment Advice

None of the services provided under this Agreement shall be deemed as investment advice, and cannot be considered as investment advice.

6.2. No Consultancy Services

MetaChain Teknoloji does not undertake to provide consultancy services to the User, and does not engage in any activities that can be considered as consultancy services.

7. Fees and Commissions

7.1. MetaChain Teknoloji has the right to charge commissions (service fees) from its Users based on a rate determined at its sole discretion, which includes but is not limited to each purchase and sale transaction, and services provided within the scope of its service.

7.2. MetaChain Teknoloji's fees and commissions for the services it will provide under this agreement can be accessed from the site and applications simultaneously.

7.3. Unless otherwise stated here or in the Policies, cryptocurrency transfers are non-refundable. Therefore, commission and transaction fees collected by MetaChain Teknoloji are also non-refundable, and Users do not have the right to request a refund of these fees.

7.4. MetaChain Teknoloji reserves the right to change the types, amounts, and rates of these fees and commissions from time to time without prior notice. These changes will be effective after being announced on the Platform. The fee schedule for the services is an integral part of this agreement.

8. Privacy Policy

8.1. Compliance / Acceptance

The Parties agree, declare and undertake to comply with the legislation regarding the protection of personal data.

8.2. Personal Data We Collect

MetaChain Teknoloji may identify, collect and record various personal data, including but not limited to, based on your interactions with us, your choices, and the products and features you use, including:

8.2.1. Personal data that you voluntarily provide to us when registering on the Platform or Applications, and/or completing the identity verification process that can be personally identifiable.

8.2.2. Identity documents, fund source certificates, fund usage documents, etc., in order to comply with regulations such as Anti-Money Laundering, Customer Identification and Prevention of Terrorism Financing, Global Industry Regulatory Standards and local regulations before or during your use of certain services.

8.2.3. Personal data related to your use of the services;

(a) Date and times of access to the Platform or its use,

(b) Device identifications, such as IP addresses, types, models, operating systems; browser information and device manufacturers you used to access the Platform,

(c) Comprehensive demographic information, and

(d) Other transaction information subject to our unilateral discretion.

8.2.4. Any personal data that you provide us with or generate through communication or activities related to the use of the services.

8.3. Transfer of Personal Data

MetaChain Teknoloji undertakes to process personal data in compliance with legal obligations and other policies and agreements regarding personal data, within the framework of the principles specified in the Information Note on Processing Personal Data.

8.4. Processing of Personal Data

8.4.1. Personal data provided by the User cannot be used for any purpose other than those specified in the Agreement and the Information Note on Processing Personal Data.

8.4.2. Personal data may be processed by MetaChain Teknoloji for the following purposes, but not limited to:

(a) To provide and maintain the services and verify the identity of each user,

(b) To share with our agents, service providers or other parties we do business with to keep our performance high here,

(c) To ensure and improve the security of the system, user accounts, and our services,

(d) To implement this Agreement and other policies,

(e) To comply with legal obligations, regulations or court requests and decisions to combat fraud and respond to reasonable requests from our users, and

(f) We primarily use it to develop and display content and advertising tailored to your interests or location (and work with third parties to do so) and measure its effectiveness.

8.4.3. In order to ensure more effective use of MetaChain Teknoloji, tasks and services may co-operate with many third parties in various ways. This co-operation, advertising, sponsorship, It may be through authorised marketing, data sharing and other legitimate commercial methods.

8.5. Third-Party Links

MetaChain Teknoloji may redirect users to third-party sites. MetaChain Teknoloji does not assume any responsibility for data collection, processing, transfer, or content related to these third-party sites.

8.6. Privacy

MetaChain Teknoloji agrees to keep confidential information provided to it strictly private and confidential, to treat it as a secret, and to take all necessary measures to ensure and maintain confidentiality, prevent disclosure of the entire or any part of the confidential information to the public or unauthorized user or third party, and to exercise all due diligence.

9. Validity of Records

In any disputes arising from or related to this Agreement, the electronic and system records, commercial records, ledger records, microfilm, microfiche, and computer records maintained by MetaChain Teknoloji in its systems, databases, and servers will be binding, conclusive, and exclusive evidence, and this article constitutes a proof agreement under Article 193 of the Code of Civil Procedure.

10. Termination and Force Majeure

10.1. Either party may terminate this agreement at any time without giving any reason by giving one day prior notice.

10.2. Force majeure under this agreement shall be interpreted as events beyond the reasonable control of the relevant party, including but not limited to natural disasters, riots, epidemics, wars, strikes, lockouts, telecommunication infrastructure malfunctions, power outages, and inclement weather.

10.3. During force majeure, the parties' obligations are suspended.

10.4. Neither party will be liable for any damages arising from the inability to perform or delay in performing their obligations under this agreement due to "force majeure."

11. Applicable Law and Dispute Resolution

11.1. This Agreement is subject to the laws of the Republic of Turkey and shall be interpreted in accordance with such laws.

11.2. Istanbul Anadolu Courthouses and enforcement offices have jurisdiction over all disputes arising from or related to this Agreement.

12. Entry into Force and Acceptance

12.1. This agreement has been concluded electronically between MetaChain Teknoloji and the User upon the User filling in the information fields on the Platform and clicking on the "Start My Membership" button. However, the obligations arising from this agreement shall become effective only after the accuracy of the information provided by the User during the membership process is confirmed by us.

12.2. You acknowledge, declare and undertake that you have read and fully understood the entirety of these Terms of Use, the Risk Notification Form, the Clarification Text on Personal Data and the Privacy Policy and that you have accepted all of their provisions.

12.3. Upon request, we may send you a copy of the Agreement, Risk Disclosure Form, Information Note on Personal Data, and Privacy Policy to your email account.

12.4. We reserve the right to change these terms or policies at any time at our sole discretion. Unless otherwise stated in the relevant notice, such changes will be effective as of 00:00 hours on the fifth (5th) day following the date of the relevant notice published on the Platform or in the Applications. Your continued use of the Platform following such a change will constitute your acceptance of the then-current terms. Please regularly check each of these terms and policies for their latest effective dates to stay informed of any updates or changes.

12.5. If you do not accept the terms of this Agreement, you may not use the Platform or the services provided through the Platform. Otherwise, MetaChain Teknoloji shall not be held liable for any damages arising from or in connection with your unauthorized use or use of the services.

13. Miscellaneous Provisions

We declare that we have been authorized to use the name "MetaChain Teknoloji" and its trademarks from the relevant MetaChain Teknoloji Company. For the avoidance of doubt, such authorization shall not be construed as us forming a partnership with the licensor or operating the Platform as a joint venture, nor shall any provision herein be construed as indicating that we plan to form a partnership or joint venture with the licensor or that we are liable for its debts.
